It shall be deemed to have been executed at Mumbai, India. "Company" is defined as Rainger Ventures Private Limited, an existing company, having its registered office at F-203, Rose Gardens CHS Ltd, Mumbai-Nashik Highway, Asangaon, Maharashtra, INDIA, along with its unit for the Company's website www.raingerrealty.com.

"Date of Commencement” is the date indicating the acceptance of the Terms for Use Agreement by the user of the service. It shall be specified by the company in its notice to the user either through e-mail or conventional mail.

"Date of Termination" is the date of expiry mentioned in the notice or/and the letter of termination.

"Registration Data" is the database of all the particulars and information supplied by the User on initial application and subscription, including but without limiting to the User's name, telephone number, mailing address, account and email address.

Words referring to masculine include the feminine and the singular include the plural and vice versa as the context admits or requires and Words importing persons includes individuals, bodies corporate and unincorporated.

"Services": Means the Services to be provided by the Company to the User of www.raingerrealty.com and shall include the provision of Service to the User wishing to post any details and/or list his/her/its data / details for the purpose of import/export/trade, Service to the user who wishes to place/insert advertisement(s) at www.raingerrealty.com, Service to the User who wishes to receive advertisements and promotional messages on www.raingerrealty.com and through emails/Short Messaging Services(sms).

“Subscription Fees” shall be the rate applicable for the Services provided as mentioned in the plan catalogue or as may be prescribed by the Company from time to time. Liability for payment of the Subscription Fees shall accrue from the Date of Commencement. Services of www.raingerrealty.com are available only to those individuals/organizations that can form legally binding contracts enforceable under applicable law.

"Individually Identifiable User Data" shall mean that subset of "User Data" which can be reasonably used to identify a specific individual such as their name, address, phone number, email address, etc. The User Data shall be deemed to be the property of the Website. Terms for Use:

The site is a Public website with free access and RR, as the sole owner of the website www.raingerrealty.com assumes no liability for the quality of contents and genuineness of responses. The individual / company (Users) are to conduct its own background checks on the bonafide nature of all response(s). The User shall be solely responsible for all information retrieved, stored and transmitted through the Service by him. The User confirms that he possesses / has obtained all necessary licenses and permits as per the requirements of respective Information Technology Act as well as all rules, regulations, guidelines, bye laws and notifications made thereunder, which are required for posting and uploading contents on the company's website. He indemnifies and agrees to keep the company (including the Company’s directors, management and employees) indemnified against all demands, claims and damages which may arise out of the said content posting or data/information retrieved from the website (“web site” and “website” mean the same across this document). User hereby confirms and agrees that he/she is solely responsible for the form, content and accuracy of any content placed on the website(s) of RR. Registration and Password:

The accuracy of the Registration Data given to the Company on initial application for the Service shall be the sole responsibility of the User. The user is responsible for maintaining the confidentiality of his/her account access information and passwords. Users are not authorized to share account access information with any other person/party. The User hereby provides consent to be contacted by the Company and/or Seller(s) / Buyer(s) / Agent(s) / Trader(s) / Service Provider(s) / Agency(ies) related to the purpose. Users also consent to receiving sms/email communications from the Company and/or other users for the purpose of services etc., based on the personal data / information provided at the time of registration/updated subsequently.

The user shall not use any software to automatically download or/and extract either complete or/and partial content from the Website’s database without prior consent from RR in writing. The user also agrees not to make any unauthorized commercial use of the Service. The User shall use the Service only for the purpose for which it is subscribed. The user is hereby prohibited from charging any fee from other users whose data is available on the Website for processing enquiry / business related activities of/with such person.

The User shall comply with all applicable laws (and shall not contravene any applicable law) of India or his/her/its own country(ies) of citizenship and residence relating to the Services, including any regulation made pursuant thereto. The User agrees to give out to the company a non-exclusive, worldwide, royalty-free, irrevocable, sub-licensable (through multiple tiers) right to exercise all copyright and publicity rights, in any existing or future media, known or unknown, over the material or User Data displayed in your listings. Payment of Subscription Fee:

This Fee, as prescribed from time to time, is to be paid to avail specific services on the Company’s Website. It shall be paid/payable 100% in advance on demand / as stated in the invoice(s) raised by the Company on the User. The User understands and agrees that User is responsible for the payment of all applicable taxes and for all costs that are incurred in using the Website service. Any agreement for subscription/usage entered into by RR does not confer exclusivity of service on any subscriber/user. The User is solely responsible for carrying out any online /off-line transaction involving credit cards/debit cards or such other forms of instruments or documents for making such transactions and RR assumes no responsibility or liability for their improper use of information relating to such usage of credit cards/debit cards used by the subscriber online/off-line.

Agency Engagement, Property Introductions & Commission:

1. Engagement of Services: By submitting any enquiry, registration, request for information, property requirement, callback request, site visit request, expression of interest, or by otherwise communicating with Rainger Realty through this Website, email, telephone, WhatsApp or any other mode, the visitor ("Client") requests and authorizes Rainger Realty, a division of Rainger Ventures Private Limited ("Rainger Realty"), to provide professional real estate consultancy, property search, property introduction, negotiation and transaction facilitation services.

2. Property Introductions: Any property, project, owner, developer, buyer, seller, investor, company, representative or other party introduced, identified or facilitated by Rainger Realty shall be deemed to have been introduced solely through the professional efforts of Rainger Realty. Such introductions constitute confidential commercial information and are made exclusively for the purpose of evaluating and completing the proposed Transaction.

3. Agency Charges: The Client acknowledges that Rainger Realty renders professional consultancy and transaction facilitation services for consideration. Agency Service Charges shall be payable in accordance with the commercial terms separately communicated by Rainger Realty through email, quotation, proposal, agreement, invoice or any other written communication accepted by the Client.

These charges, as prescribed from time to time, are to be paid to avail specific services through the Company’s Website. Based on the type of property, type of transaction and the level of services to be rendered by the Company to the seller and/or buyer, the Company shall specify, in writing, the applicable agency charges / fees to be levied on conclusion of the transaction / deal. By availing services of the Company as specified herein, respective user(s) hereby agrees to pay the agency charges fully, along with applicable taxes, on demand / as stated in the invoice(s) raised by the Company on the User. The User understands and agrees that User is responsible for the payment of all applicable taxes and for all costs that are incurred in using the Website service.

4. Non-Circumvention: The Client agrees not to directly or indirectly bypass, circumvent or exclude Rainger Realty in respect of any property, project or party introduced by Rainger Realty for the purpose of avoiding payment of Agency Service Charges. This restriction shall equally apply where the Transaction is completed through any nominee, relative, partner, associate, affiliate, subsidiary, holding company, group entity, special purpose vehicle (SPV), trust, LLP, partnership firm or any other person or entity acting on behalf of or connected with the Client.

5. Meaning of Transaction: For the purpose of these Terms, "Transaction" includes every arrangement whereby any legal, beneficial, commercial or controlling interest in any property, project, business or entity owning such property is acquired or agreed to be acquired, directly or indirectly, irrespective of the legal structure adopted. Without limitation, this includes sale, purchase, agreement for sale, allotment, assignment, lease, license, development agreement, transfer of shares, company takeover, merger, amalgamation, business transfer, slump sale, LLP or partnership interest transfer, joint venture, restructuring or any other similar arrangement.

6. Change in Transaction Structure: The Client acknowledges that Agency Service Charges shall not be avoided, reduced, postponed or otherwise affected merely because the parties choose to complete the Transaction through a different legal, commercial or corporate structure than originally contemplated.

7. Introduced Parties: Where Rainger Realty introduces any owner, developer, purchaser, seller, investor or other party, any Transaction concluded directly or indirectly with such introduced party, whether by the Client or through its nominee, affiliate or related entity, shall be deemed to have arisen from the services rendered by Rainger Realty.

8. Payment of Agency Charges: Unless otherwise agreed in writing, Agency Service Charges shall become payable immediately upon execution or acceptance of any binding commercial arrangement resulting in the Transaction. Rainger Realty shall be entitled to issue its GST Tax Invoice accordingly, and the Client shall make payment within the period specified in such invoice.

9. Survival: The obligations relating to confidentiality, non-circumvention and payment of Agency Service Charges shall survive completion, termination or suspension of discussions and shall continue to apply to any Transaction arising from introductions made by Rainger Realty.

10. Acceptance: By using this Website, submitting an enquiry, requesting property information, participating in discussions, accepting property details, arranging a site visit or continuing to utilize the services of Rainger Realty, the Client confirms that it has read, understood and agreed to these Terms and Conditions.

All codes & content on the RR’ website(s) is the exclusive property of RR and is protected under Indian and international copyright, trademark & other laws. Unauthorized use of the Website Content may violate these laws and/or applicable communications regulations and statutes, and is strictly prohibited. Users shall not use any RR’ website in order to host, display, upload, modify, publish, transmit, update, distribute, share, store or destroy material, including but without limitation to RR Content(s), that is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic, libelous, invasive of another’s privacy, threatening, abusive or hateful or racially, ethnically objectionable, disparaging, relating encouraging money laundering or gambling or otherwise unlawful in any manner whatsoever, harm minors in any way, deceives or misleads the addressee about the origin of such message or communicates any information which is grossly offensive or menacing in nature, impersonate another person or entity, contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of RR’s computer systems / website(s) or violating or attempting to violate the security of any RR’ website(s) or RR’s users, including, without limitation, via means of submitting a virus to any RR’ website, overloading, "flooding", "spamming", "mail bombing" or "crashing"; or forging any TCP/IP packet header or any part of the header information in any e-mail or newsgroup posting, or any other unauthorized / illegal activities affecting RR’s customer’s computer systems or site, threatens the unity, integrity, defense, security or sovereignty of India or any other country, friendly relations with foreign states or of public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or insulting any other nation. Violations of system or network security may result in civil or criminal liability. The listing / posting advertisement and all database features of the Website may be used only for lawful purposes by individuals seeking export/import/trade information & opportunities and individual/business seeking business. The Company specifically prohibits any other use of the Website. In case of non-compliance of the foregoing, the access of such users to the site may be immediately terminated, at sole discretion of RR. In the event that the User breaches any of the above mentioned covenants, the Company shall have the right to delete any material relating to the violations without prior notice to the User. The Company may issue a warning to the User to discontinue any activity which leads to the said violations and in the event the User continues with such prohibited activity, the Company reserves the unilateral right to suspend or/and deactivate the User's access to the Website Service(s) and/or any other related facility and to forfeit any amounts paid by him. In addition to the right to indemnity available to the Company, the Company shall have the right to any legal remedy, against the concerned User to recover the loss suffered by the Company and the harm caused to the reputation of the Company, due to such violation by the User. Any Profile information you submit must be accurate. Any misrepresentation of fact is a criminal offence and may invite legal liabilities. You acknowledge and agree that you are solely responsible for the details provided and attached data, content and accuracy of any details or material contained therein placed by you on the RR’ website(s). RR also reserves the right to delete your account and all of your Information after a significant duration of inactivity. TO THE FULLEST EXTENT POSSIBLE BY LAW, THE COMPANY DOES NOT WARRANT THAT ANY RR’ WEBSITE WILL OPERATE ERROR-FREE OR THAT ANY RR’ WEBSITE & ITS SERVERS ARE FREE OF COMPUTER VIRUSES OR OTHER HARMFUL MECHANISMS OR THAT THE SERVICE SHALL MEET USER’S REQUIREMENT(S)/EXPECTATION(S) AND THAT THE SERVICE SHALL BE UNINTERRUPTED OR/AND ACCURATE/RELIABLE/TIMELY/SECURE. Indemnity:

User agrees to defend, indemnify, and hold harmless RR, its affiliates, and their respective officers, owners, directors, employees and agents, from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from (i) any User Content or other material any User provides to any RR website(s), (ii) User’s use of any RR Content, or (iii) User’s breach of these Terms of Use. RR shall provide notice to the User promptly of any such claim, suit, or proceeding. The User may join in defense with counsel of its choice at its own expense subject to the approval of the company. The User unilaterally agree to indemnify and hold harmless, without objection, the Company, its officers, directors, employees and agents from and against any claims, actions and/or demands and/or liabilities and/or losses and/or damages whatsoever arising from or resulting from their use of www.raingerrealty.com or their breach of the terms of this Agreement. Indemnification shall be provided for any claim which shall arise and shall be limited to payment by the indemnifying party ("User") of all damages and costs finally awarded for such claim, or settlement costs approved in writing by the Company.

General Clauses:

Access to the RR’ website(s) Content may not be legal by certain persons or in certain countries.
